Corporate Governance: Currently serve as Corporate Secretary to U.S. entity, board member (foreign and domestic), to advise and assist boards to effect corporate governance initiatives. Worked as liaison between CEO, board of directors and shareholders, and managed shareholder meetings.
International Business, Contracts, Mergers and Acquisitions: In current role as General Counsel, manage all global legal matters, including but not limited to negotiation of definitive agreements for licensing, agency, master service agreements, and formation of affiliated and foreign subsidiaries. Negotiated and drafted complex contracts involving public and private companies, and formation of business entities in numerous countries.
Represented manufacturing and engineering companies with letters of intent/memoranda of understanding, entity formation, and due diligence for international projects, including projects in China, Africa, Italy, India, Bulgaria, Colombia and Mexico.
Restructuring and Turnaround: Member of executive management team which successfully restructured company in financial extremis, implementing strategic plan for stability and future growth. Restructuring and turnaround of company resulting in positive revenue and continuing EBITDA percentage increase.
Management of Human Resources: Responsible for management and oversight of human resources department for domestic and international operations including foreign subsidiaries.
Litigation, Mediation and Arbitration: Conducted and managed business and commercial litigation in state and federal courts, and mediation and arbitration, with emphasis in areas of banking, construction, real estate, trade secrets, contracts, transportation and employment matters.
